Commercial Counsel - Irvine, CA

Skyworks Solutions, Inc.
is seeking a talented lawyer to join the Skyworks legal team as a
Commercial Counsel.
This position is based in Irvine, California
.
The successful candidate will be able to work collaboratively as part of a small, fast-paced legal team, effectively managing multiple projects and priorities simultaneously.

Key
Responsibilities:

  • Oversee, and/or provide assistance with, a wide variety of corporate and contractual matters, including, but not limited to the following:
  • Draft, review, and negotiate agreements in support of the company s sourcing and procurement function, including agreements with foundries and other semiconductor manufacturing suppliers
  • Draft, review and negotiate commercial contracts in support of Skyworks sales organization and business units, including purchase agreements, channel partner agreements and other customer-facing agreements
  • Draft, review and negotiate corporate contracts in support of Skyworks defense and aerospace business, including managing applicable FAR/DFAR flow-down provisions
  • Advise internal clients on a variety of legal matters stemming from the business and commercial operations
  • Manage outside counsel when necessary in connection with commercial litigation
  • Develop and deliver internal training and educational seminars involving corporate code of conduct and other compliance matters
  • Perform such other tasks as necessary, or as assigned by legal department management
  • Some domestic and international travel may be required (up to 10%)

Qualifications & Experience

  • Six or more years of related experience
  • Experience with corporate transactional or commercial contracting at a law firm or in-house
  • In-house experience at a global, public technology company is a plus
  • Specific experience in the semiconductor industry is a plus
  • Specific experience with government contracting and FAR/DFAR compliance is a plus, but not required
  • Experience using or administering third-party contract management systems is preferred
  • Experience in a global business environment is a plus
  • Independent and quick learner able to grasp new concepts, exercise good judgment and process information quickly
  • Flexible multitasker able to juggle constantly shifting priorities and tasks in a fast-paced environment
  • Enthusiastic and collaborative team player, with a strong work ethic and a high attention to detail
  • Excellent oral and written communication skills
  • Sincere interest in the intersection of business and law
  • Highly skilled in standard office software (MS Office, Excel, PowerPoint, etc.
    )

Education and Licenses

  • JD from an accredited U.
    S.
    law school
  • Member of the California State Bar in good standing (or eligible to practice in California as registered in-house counsel)

The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
